Welcome to The Branding Shoppe. These Terms & Conditions (“Terms”) govern your access to and use of The Branding Shoppe website, online quote request forms, digital proof approval systems, communications, and related apparel decoration and commercial ordering services.

By accessing or using this website, submitting information through our quote forms, uploading artwork, approving digital proofs, placing an apparel order, or otherwise interacting with our services, you agree to these Terms. If you do not agree with these Terms, please do not use the website or submit orders.

1. About The Branding Shoppe

The Branding Shoppe provides professional apparel decoration, screen printing, computerized embroidery, and promotional merchandise solutions in El Paso, Texas, and surrounding regional service areas (including Clint ISD, Fort Hancock, Alpine, and Marfa). Our services include:

  • Industrial custom screen printing (water-based and plastisol inks);
  • Computerized machine embroidery on structured apparel, polos, caps, and jackets;
  • Athletic uniform manufacturing, team numbering, and player roster personalization;
  • School district (ISD) athletic apparel outfitting and booster club merchandise;
  • Corporate uniforms, workwear, and branded hospitality merchandise;
  • Wholesale apparel blanks sourcing (Nike, BSN Sports, and allied distributors); and
  • Custom promotional swag, rally towels, and event accessories.

The specific scope, pricing, garment quantities, production schedules, turnaround times, and delivery methods are governed by approved digital proofs, written estimates, official invoices, or School District Purchase Orders (POs). If there is a conflict between these Terms and a signed commercial agreement or purchase order, the signed agreement or authorized PO will control regarding those specific services.

2. Website Information Is for General Purposes

Information presented on this website—including product mockups, size charts, decorating descriptions, and estimated pricing—is provided for general informational and commercial guidance.

Digital garment representations, embroidery simulations, and on-screen colors (displayed in RGB/CMYK) may vary slightly from finished physical items due to monitor calibrations, fabric dyes, thread sheen, and ink curings. You are encouraged to request physical fabric swatches or digital proofs prior to mass production runs.

3. Production Tolerances and Custom Decoration Standards

The Branding Shoppe delivers high-precision apparel decoration. However, custom screen printing and embroidery involve mechanical and artisanal textile processes:

  • Placement Tolerances: Standard industry placement tolerances allow for slight positional variances (up to 0.5 to 0.75 inches) depending on garment seams, cuts, and textile stretch.
  • Color Matching: We utilize Pantone (PMS) matching systems for screen printing inks upon request; exact visual matches across diverse fabric blends (e.g., 100% polyester athletic dry-fit vs. 100% ring-spun cotton) may exhibit slight natural variations.
  • Embroidery Density: Stitch count and fabric puckering can be influenced by lightweight performance fabrics; our team digitizes files to minimize distortion according to garment fabric weight.

We do not guarantee microscopic uniformity across varying apparel mills, dyes, or production dye lots.

4. Accuracy of Information You Provide (Artwork & Sizing)

You agree that all information, artwork assets, garment size breakdowns, and roster rosters submitted to The Branding Shoppe are accurate, complete, and current to the best of your knowledge.

Our ability to produce your order accurately depends on data provided by you, including:

  • Vector graphic files (.AI, .EPS, .PDF, .SVG) and required Pantone color designations;
  • Garment size breakdowns and color allocations;
  • Correct spelling of team player names and roster numbers; and
  • Accurate billing, shipping, and delivery addresses.

The Branding Shoppe is not responsible for production misprints, delays, restocking fees, or financial losses resulting from inaccurate, incomplete, misspelled, or low-resolution files provided and approved by the client.

5. Client Responsibilities & Digital Proof Approval

Clients are strictly responsible for reviewing and approving all digital artwork proofs (mockups) prior to production initiation.

  • Proof Review: You must carefully inspect spelling, typography, placement dimensions, ink colors, thread selections, garment style codes, and sizing breakdown.
  • Binding Approval: Written approval (via email, quote portal sign-off, or electronic signature) constitutes irrevocable authorization to proceed with physical printing or embroidery.
  • Order Modifications: Once production has begun or apparel blanks have been ordered from wholesale distributors, modifications may incur setup fees, re-digitizing fees, or distributor restocking charges.

6. Athletic Team and School District (ISD) Orders

When The Branding Shoppe outfits educational institutions, athletic departments, booster clubs, or youth sports leagues:

  • Authorization: Athletic coordinators, head coaches, and purchasing agents warrant that they have the legal authority to commit institutional funds and issue binding School District Purchase Orders (POs).
  • Roster Verification: The client is solely responsible for verifying player eligibility, jersey number allocations, sizing choices, and compliance with governing athletic leagues (e.g., UIL rules).
  • Tax Exemption: Clients claiming Texas sales tax exemption must supply an executed Texas Sales and Use Tax Exemption Certification prior to invoice settlement.

7. Third-Party Apparel Distributors and Logistics Carriers

Our operations integrate with third-party wholesale apparel manufacturers (e.g., SanMar, S&S Activewear, AlphaBroder, BSN Sports, Nike) and commercial freight carriers (UPS, FedEx, USPS, and regional freight couriers).

The Branding Shoppe does not control third-party supply chain operations and is not responsible for:

  • Manufacturer backorders, mill flaws, or sudden mill inventory shortages;
  • Carrier delivery delays caused by severe weather, mechanical interruptions, or transit strikes; or
  • Delays occurring once the shipment is in the possession of the carrier.

Risk of loss transfers to the client upon tender of goods to the shipping courier or upon customer pickup at our El Paso facility.

8. Electronic Communications

By submitting your email address through our quote forms or direct correspondence, you authorize The Branding Shoppe to communicate with you electronically regarding estimates, digital proofs, invoice delivery, production status alerts, and order logistics.

You are responsible for maintaining an active email address and checking spam folders. Electronic communication carries inherent internet risks, and no online transmission can be guaranteed completely immune from external service interruptions.

9. SMS and Text Messaging Disclosures

If you provide a mobile phone number and opt in to receive text messages, The Branding Shoppe may send SMS messages regarding quote verifications, urgent proof approvals, production milestones, ready-for-pickup notifications, and order completion alerts.

  • Opt-Out: You may opt out of text communications at any time by replying STOP. Reply HELP for assistance.
  • Rates: Message frequency varies depending on your order activity. Standard message and data rates may apply.
  • Non-Condition of Sale: Consent to receive automated or marketing text messages is not a condition of purchasing custom apparel or decorating services.
  • Legal Disclosures:
    • Carriers are not liable for delayed or undelivered messages.
    • You must be 18 years of age or older to use this SMS service.

Opting out of promotional SMS does not prevent The Branding Shoppe from contacting you via telephone or email regarding an active apparel production order.

10. Intellectual Property & Customer Artwork Warranty

Our Intellectual Property

Unless otherwise stated, all website content, including website layouts, visual designs, copywriting, graphics, and code, is owned by or licensed to The Branding Shoppe and is protected under intellectual property statutes. You may not copy, scrape, or exploit site elements without prior written consent.

Customer Artwork and Trademark Warranty

By uploading or submitting logos, mascot designs, school crests, commercial emblems, or copyrighted graphics to The Branding Shoppe, you represent and warrant that:

  • You own the artwork or possess express, lawful authorization and licenses from the copyright or trademark owner to reproduce the designs on physical garments.
  • The requested decoration does not infringe upon the intellectual property, privacy, or publicity rights of any third party.

You agree to indemnify and hold harmless The Branding Shoppe against any trademark or copyright infringement claims resulting from artwork you supply.

11. Acceptable Use of Website

You agree not to:

  • Use the website or forms for fraudulent, unlawful, or deceptive quote inquiries;
  • Upload corrupted vector files, malicious code, trojans, or harmful digital scripts;
  • Interfere with web security, hosting servers, or form endpoints;
  • Misrepresent your affiliation with educational institutions, businesses, or sports organizations; or
  • Deploy automated scraping software, bots, or web extractors to harvest pricing or contact directories.

We reserve the right to decline quote requests or terminate communication with any entity violating these acceptable use rules.

12. Website Availability

We strive to keep our website, quoting tools, and digital catalog displays accessible and reliable, but we cannot guarantee uninterrupted or error-free access.

The Branding Shoppe reserves the right to modify, suspend, update, or discontinue any feature, product catalog, or form on the website without prior notice.

13. Disclaimer of Warranties

To the fullest extent permitted by Texas and federal law, our website and online resources are provided on an “as is” and “as available” basis.

The Branding Shoppe makes no express or implied warranties regarding website availability, software uninterrupted operation, or absolute color fidelity across digital displays. Nothing in this section limits statutory warranties that cannot legally be excluded under applicable consumer law.

14. Limitation of Liability

To the fullest extent permitted by applicable law, The Branding Shoppe, its owners, decorators, screen printers, staff, and representatives will not be liable for indirect, incidental, special, consequential, or exemplary damages—including lost athletic competition fees, missed event dates, or reputational claims—resulting from supply chain shortages, transit carrier delays, or website downtime.

The total liability of The Branding Shoppe for any claim arising out of custom apparel production or decorating services shall not exceed the total dollar amount paid by the client for the specific decorated order giving rise to the dispute.

15. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless The Branding Shoppe, its owners, operators, and employees from any claims, damages, liabilities, costs, or legal expenses (including reasonable attorney fees) arising from:

  • Artwork, trademarks, or copyrighted files provided by you that infringe upon third-party rights;
  • Breach of these Terms by you or your agents; or
  • Misuse of custom apparel decorated on your behalf.

16. Privacy

Your use of our website and quote submission modules is also governed by our Privacy Policy, which outlines how we collect, store, and safeguard your commercial and contact information.

17. Governing Law and Jurisdiction

These Terms and any commercial dispute arising from custom apparel production or website use are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any legal action, proceeding, or dispute resolution arising hereunder shall be filed and resolved exclusively in the state or federal courts located in El Paso County, Texas.

18. Changes to These Terms

The Branding Shoppe may revise these Terms & Conditions periodically to reflect changes in our apparel manufacturing processes, wholesale vendor policies, technological systems, or statutory requirements.

Updated versions will be posted on this page with an updated Effective Date. Continued use of our website or placement of orders following changes constitutes acceptance of the revised Terms.

19. Severability

If any provision of these Terms is deemed invalid, unlawful, or unenforceable by an authoritative court of jurisdiction, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
